Terms of Service

These Terms of Service (“Terms”) govern your use of the telecommunications services, website, and related products provided by SoundLine Communications (“SoundLine,” “we,” “us,” or “our”). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

SoundLine provides hosted Voice over Internet Protocol (VoIP), Session Initiation Protocol (SIP) trunking, IP PBX, unified communications, and related telecommunications services (collectively, the “Services”). The specific services, features, and pricing applicable to your account are described in your service agreement or order form.

2. Account Registration and Eligibility

  • You must be at least 18 years of age and have the authority to enter into a binding agreement on behalf of yourself or your organization.
  • You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services for any illegal purpose, including but not limited to fraud, harassment, or threats
  • Transmit unsolicited commercial communications (spam), robocalls, or auto-dialed calls in violation of the Telephone Consumer Protection Act (TCPA) or similar laws
  • Interfere with or disrupt the integrity or performance of the Services or related systems
  • Attempt to gain unauthorized access to our systems, networks, or other customer accounts
  • Use the Services to transmit any malicious software, viruses, or harmful code
  • Resell, sublicense, or redistribute the Services without our prior written consent
  • Use the Services in a manner that violates any applicable local, state, national, or international law or regulation

4. Service Level Agreement

SoundLine strives to provide a 99.999% uptime guarantee for our hosted services. Our Service Level Agreement (SLA) details the specific uptime commitments, measurement methodology, and remedies (including service credits) available in the event of service disruptions. The SLA is incorporated by reference into these Terms and is available upon request or as part of your service agreement.

5. Billing and Payment

  • Fees for our Services are as set forth in your service agreement or the pricing published on our website at the time of purchase.
  • Services are billed on a monthly basis. Payment is due upon receipt of invoice unless otherwise specified in your agreement.
  • We accept payment by credit card, ACH/bank transfer, and other methods as specified. You authorize us to charge your selected payment method for all applicable fees.
  • Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is less.
  • We reserve the right to suspend or terminate Services for accounts with outstanding balances exceeding 30 days past due.
  • All fees are exclusive of taxes. You are responsible for all applicable sales, use, and other taxes.

6. Number Porting and Provisioning

SoundLine supports telephone number porting from your existing service provider at no additional charge. While we make every effort to complete the porting process as quickly as possible, porting timelines depend on your current provider and may take 7 to 14 business days. SoundLine is not responsible for delays caused by third-party carriers. You are responsible for ensuring you have the authority to port the numbers requested.

7. Emergency Services (911/E911)

IMPORTANT: VoIP-based 911 service has certain limitations compared to traditional 911 service. You acknowledge and understand that:

  • E911 service requires a registered physical address. You must keep your registered address current at all times.
  • If your Internet connection or power is unavailable, 911 calls may not be completed.
  • There may be a delay in connecting your 911 call compared to traditional telephone service.
  • Your call may be routed to a regional or national call center rather than your local 911 dispatch.
  • You agree to notify all persons who may use the Services at your location about the limitations of VoIP-based 911 service.

8. Term and Termination

  • Unless otherwise stated in your service agreement, Services are provided on a month-to-month basis with no long-term commitment required.
  • Either party may terminate the Services at any time with 30 days written notice.
  • We may suspend or terminate your Services immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding balances.
  • Upon termination, you remain responsible for all charges incurred through the date of termination.
  • We will make commercially reasonable efforts to allow you to port your numbers to another provider following termination, subject to applicable regulations.

9. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and within our Services are the property of SoundLine Communications or our licensors. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUNDLINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SOUNDLINE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOUNDLINE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoundLine and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Regulatory Compliance

SoundLine provides telecommunications services in compliance with applicable federal and state regulations, including requirements set forth by the Federal Communications Commission (FCC). We comply with the Communications Assistance for Law Enforcement Act (CALEA), Customer Proprietary Network Information (CPNI) rules, and other applicable telecommunications regulations. You agree to cooperate with us in meeting any regulatory requirements related to the Services.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where SoundLine maintains its principal office. Each party shall bear its own costs and fees associated with the arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Texas.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with your service agreement and any applicable order forms, constitute the entire agreement between you and SoundLine regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
